HappyCo Terms of Use

1. Agreement to Terms

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING SITEVISIT, ANY ASSOCIATED SERVICES, APPLICATIONS, OR SOFTWARE.

BY USING SITEVISIT, YOU AGREE TO THESE TERMS OF USE AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU ARE NOT PERMITTED TO ACCESS OR USE SITEVISIT.

These Terms of Use (“Terms”) are a binding agreement between you and HappyCo, Inc. (“HappyCo”), a Delaware corporation, governing your use of SiteVisit and any related services, software, and mobile applications.

If you have entered into a Master Services Agreement, Subscription Agreement, or similar agreement with HappyCo (“Services Agreement”), the terms of that agreement will control in case of any conflict with these Terms of Use.

2. Definitions

SiteVisit — a video-first site visit platform developed by HappyCo. Users record narrated walkthroughs of their properties, and JoyAI extracts action items, drafts reports, and manages follow-up with onsite teams.
JoyAI— HappyCo's AI assistant integrated across HappyCo products, including SiteVisit. JoyAI transcribes recordings, extracts action items, picks evidence frames, and drafts emails on your behalf.
Services — the features and functionality available in SiteVisit, including video capture, AI-generated reports, action-item management, follow-up automation, the weekly engagement digest, and integrations.
User or You — any individual or entity accessing SiteVisit, including asset managers, property managers, and team members.
Related Software — any associated APIs, integrations, or software tools provided with SiteVisit.

3. User Accounts & Access

To use SiteVisit, you must create an account. Accounts are authenticated through our identity provider partner. You agree to:

Provide accurate registration information
Maintain the security of your account credentials
Use SiteVisit only for lawful business purposes
Not share login credentials or allow unauthorized access

HappyCo reserves the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use & Restrictions

You agree that you will not:

Use SiteVisit for unauthorized purposes (e.g., tenant data collection without consent)
Reverse-engineer, modify, or attempt to extract SiteVisit's source code
Use SiteVisit to develop competing software
Interfere with system security or integrity
Use SiteVisit in a way that violates applicable laws or regulations

HappyCo reserves the right to suspend or terminate access if these Terms are violated.

5. Fees, Billing & Payment

A. Free Plan and Pro Subscription

Free plan: SiteVisit offers a free tier with up to 1 property and 5 site visits. No card required. No time limit.
Pro plan:Unlimited properties, unlimited site visits, the weekly engagement digest, and Joy's automated follow-ups. Pro is offered at $99 USD per month (billed monthly) or $990 USD per year (billed annually, saving $198).
Pro subscriptions renew automatically at the end of each billing period unless canceled. You may cancel any time from the billing portal in your account settings — no advance notice required.
When you cancel a Pro subscription, you retain access to Pro features through the end of the period you have already paid for. After that date, your account drops to the free plan; your data stays in your account.
No refunds or credits for partial months or unused services.

B. Payment Terms

Payments are processed securely via Stripe.
Late or failed payments may result in service suspension or downgrade to the free plan after Stripe's standard retry window.

C. Taxes & Adjustments

Subscription fees exclude applicable taxes, levies, or surcharges.
Pricing may be adjusted with reasonable notice. Existing subscribers will be notified of any change before their next renewal.

6. Data & Privacy

Your use of SiteVisit is subject to our Privacy Policy, which explains how we collect, process, and protect your data.

By using SiteVisit, you acknowledge that:

You are responsible for ensuring compliance with applicable data protection laws when entering property-related information into SiteVisit.
HappyCo does not claim ownership of your inspection data, but may process it (including by routing video, audio, and transcript data through JoyAI) to deliver the Services.
HappyCo does not train AI models on your content and does not sell your data.

7. Third-Party Integrations & Links

SiteVisit relies on third-party providers for payments (Stripe), identity (Clerk), email delivery (Resend), AI processing (OpenAI), and infrastructure hosting.
HappyCo is not responsible for third-party services, including their security, reliability, or data practices.
Your use of third-party integrations is subject to those providers' terms and conditions.

8. Service Availability & Modifications

HappyCo strives to ensure 99.9% uptime for SiteVisit, but service interruptions may occur due to maintenance, security updates, or external factors. HappyCo may modify or discontinue features at any time without liability.

HappyCo is not liable for:

Data loss due to improper usage
System downtime caused by third-party integrations
Incidental damages from service interruptions

9. Intellectual Property Rights

SiteVisit and its components, including JoyAI, are the intellectual property of HappyCo.
You may not copy, distribute, or modify any portion of SiteVisit without written permission.
HappyCo may use your company's logo or name for marketing purposes unless you opt out by contacting legal@happy.co.

10. Indemnification

You agree to defend, indemnify, and hold harmless HappyCo from claims, damages, or legal disputes arising from:

Your use of SiteVisit
Your violation of these Terms
Your improper handling of data or user content

11. Disclaimers & Limitation of Liability

SITEVISIT IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. HappyCo does not guarantee:

Uninterrupted access to SiteVisit
That SiteVisit will meet every specific operational requirement
That SiteVisit will be free of errors, security threats, or data loss

Limitation of Liability:HappyCo's total liability for any claim will not exceed the total fees paid by you in the past six months.

12. Governing Law & Dispute Resolution

A. Applicable Law

These Terms will be governed by the laws of the State of California, USA.

B. Arbitration Agreement & Class Action Waiver

By using SiteVisit, you agree that:

Any disputes must be resolved via binding arbitration through JAMS in San Francisco, California.
You waive the right to bring class-action lawsuits against HappyCo.
Arbitration costs are shared, but HappyCo covers reasonable filing fees for claims under $50,000.

Opt-Out Option: You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to legal@happy.co.

13. Termination & Account Cancellation

HappyCo may suspend or terminate access for violations of these Terms. You may cancel your SiteVisit Pro subscription at any time from the billing portal in your account settings — no advance notice required. Cancellation takes effect at the end of your current paid period.

Upon termination:

Your data may be deleted after a retention period.
You remain responsible for any unpaid fees up to the cancellation date.

14. Changes to These Terms

HappyCo may update these Terms periodically. Continued use of SiteVisit after changes constitutes acceptance of the updated Terms.
